Just starting, no company yet
You sell or freelance under your own name and clients now ask for tax invoices or a contract with a company.

Seven steps from choosing a structure to a company that can invoice, file tax and be found online. We prepare the documents, file with the registrar and set up the monthly routine that follows.
Zura Labs & Business Hub Co., Ltd.
Short answer
The core steps are name reservation, preparing the articles and shareholder list, filing with the Department of Business Development, opening a bank account, tax registration and moving into monthly bookkeeping. With complete documents and an approved name, registration typically completes within a few business days, though the registrar's review sets the real timeline.
Registering a private limited company in Thailand means reserving the name, preparing the incorporation documents, filing with the Department of Business Development, then registering for tax and, where applicable, VAT and social security. We do all of it, we can supply the registered address from our own Bangkok or Khon Kaen office, and we continue with the monthly accounting and the website afterwards. Requirements and government fees follow the agencies' current rules; we confirm them for your case in writing before filing.
Tell us the business and we will say which structure fits, which address to use and what your first year of filings looks like. No charge for the assessment.

You sell or freelance under your own name and clients now ask for tax invoices or a contract with a company.
Your home is a condo, or the owner will not sign a consent letter. Use our Bangkok or Khon Kaen office address instead.
You want the address, the registration, the accounting and the website from one team.
You need to move the registered address, add objectives, change directors, or clear overdue accounting and tax work.
Fits: Testing the market, modest revenue, clients do not need corporate paperwork.
Fits: Two or three partners in services or contracting, with no need to raise capital.
Fits: You need credibility, tax invoices, tender eligibility, or room for more shareholders.
The right structure depends on your clients, tax position and growth plan. We discuss it with you free of charge, and licensed matters are handled by licensed professionals.
Tell us the business, the clients and the revenue plan. We advise on the structure, which address to use and whether VAT is needed from the start, then send the scope and costs in writing.
Send three preferred names. We check conflicts, restricted and prohibited words, then reserve the name with the Department of Business Development. Reservations expire per the department's rules.
Memorandum of association, objectives matching the work you actually do, shareholder list, articles, statutory meeting minutes, and the consent-to-use-premises letter and map from our office.
Sign at our Bangkok or Khon Kaen office, or by courier. We check every signature before filing, submit the incorporation and follow up with the registrar.
You receive the certificate, forms BorOrJor 2/3/5, the memorandum, and a company seal if you order one, plus scans for online use.
Tax registration with the Revenue Department, VAT registration where required or needed, social-security employer registration once you hire, and the document set for opening a corporate bank account.
We set up monthly document collection, appoint the bookkeeper, build the filing calendar and send reminders so a new company does not incur penalties for missed filings.
Everything else — memorandum, articles, minutes, consent letter — is drafted by us.
This is where new companies lose money to penalties. We can run all of it for you.
When you pay for services or rent you must withhold tax and file the following month. If VAT-registered, you file every month even with no revenue.
Companies file a half-year estimate and the annual corporate income tax return by the Revenue Department's deadlines.
Every company closes annual financial statements, has them audited by a licensed auditor, approves them in a shareholder meeting and submits them to the Department of Business Development.
Register as an employer and register staff within the deadline, then remit contributions monthly.
Tax invoices, receipts, contracts and statements must be retained as accounting law requires, in case of later inspection.
Moving address, changing directors, increasing capital or adding objectives require an amendment filing and notice to the relevant agencies.

We confirm the current requirement for your case with the Department of Business Development before starting and structure the shareholding accordingly.
Usually not. Most of the paperwork is handled online and signed by courier. If you prefer to sign at our Lat Phrao 95 office, we can book a time. We tell you in advance which documents need wet signatures.
Yes. We have a real office on Na Mueang Road in Mueang Khon Kaen that can serve as your registered address, and we serve nearby provinces too, dealing with the area offices for your registered location.
Not always. The law requires it once revenue reaches the threshold, but some businesses register earlier because corporate clients need tax invoices or there is recoverable input tax. We model both before you decide.
It depends on the work you will take, client or procurement requirements, licences you need, and any visa or work-permit plan. Higher capital changes fees and unpaid-share liability. We advise on your actual case.
A house with the householder's consent and no building restriction usually works. Many condos prohibit commercial use, and signage may trigger signboard tax. If you are blocked, use our office address instead.
We quote per case, separating our fee from government fees set by the agencies, and confirm it in writing before starting. Nothing extra is charged without notice.
Open the corporate bank account, invoice in the correct format, file monthly taxes, keep books, and close audited annual statements. We can run this monthly and build the website that makes you findable in year one.
This page explains the general process to help you decide. It is not case-specific legal or tax advice. Requirements, fees and timelines follow the announcements of the Department of Business Development, the Revenue Department and other agencies, and can change. We confirm the current requirements for your case before filing, and licensed work is carried out by licensed professionals.

If the structure involves foreign shareholders, a foreign business licence, BOI or Amity Treaty rights, or visa and work permit filings after incorporation, that work sits with the law office in our group. It explains the lawful options in full before anything starts and never takes nominee arrangements, which are illegal in Thailand.
