What differs is the address evidence and the extra paperwork when a shareholder is foreign. The checklist below splits it by case so you can gather everything in one pass.

How this works in practice

    Lock in shareholders and directors first

    Collect unexpired ID or passport copies for everyone, with English name spellings that match their official documents — mismatched spelling is a common rejection reason.

  2. 02

    Assemble the address evidence for your case

    For a home address, confirm householder consent and that condominium rules allow office use. For a rented address, ask for the full set up front: consent letter, map and photos.

  3. 03

    Write objectives that cover the real plan

    List what you will actually do in year one plus near-term plans. Too narrow means an amendment later; sprawling and unfocused invites questions from banks and partners.

    Align the name and the seal

    The seal must match the registered name in both Thai and English; a mismatch invalidates later paperwork.

    Schedule one signing session

    Get all shareholders and directors to sign the same set in one sitting. Chasing signatures one by one is the main reason filing dates slip.

Incomplete consent for the premises

A consent letter needs the property document and the consenting person's ID copy. The letter alone is usually not enough.

English spelling that differs from the passport

A foreign shareholder's name must match the passport letter for letter. One difference means re-doing documents and re-filing.

Using a condominium that forbids office use

Many condominium regulations prohibit office use of residential units. Check the rules before filing, not after.

Answers to the questions we hear most

How many shareholders are needed?

A private limited company needs at least two shareholders under the Civil and Commercial Code as amended in 2023. A genuinely single-owner setup means considering a different business form.

What percentage can a foreign shareholder hold?

It depends on the activity under the Foreign Business Act: some are open, others need a licence or a route such as BOI or a treaty. It has to be assessed activity by activity, and we do not arrange nominee shareholders.

How do overseas shareholders sign?

Documents are couriered out, signed and certified as required, then returned for filing. Build the shipping time into the schedule.

Can I use Zura's registered address?

Yes. We have two real offices, in Bangkok and Khon Kaen, and supply the full address set: consent letter, property documents, map and building photos.

Does a complete set speed up filing?

It removes the back-and-forth on our side, which is the part we control. The date you receive the affidavit still depends on the registrar's queue and review.
