Register a limited company in Thailand

A limited company is the form corporate clients, banks and government agencies know best. Shareholders are liable only for unpaid shares, and the company can open a corporate bank account and issue tax invoices.

How this registration actually runs

  1. 1

    Check and reserve the company name

    Check the name against existing companies and restricted words, then reserve it. A reservation expires, so the next documents should follow at once.

  2. 2

    Set capital, shareholders and objectives

    Decide registered capital, number and par value of shares, shareholding split, directors and signing authority, plus objectives that cover the work you will actually do.

  3. 3

    Memorandum and statutory meeting

    Prepare the memorandum of association, articles and minutes of the statutory meeting. Signatures can be collected remotely.

  4. 4

    File the incorporation with the registrar

    Submit the incorporation application together with proof of the registered address. On approval you receive the certificate, the shareholder list and a company seal if you use one.

    Tax ID, VAT and bank account

    Obtain the tax ID, register for VAT when required or once turnover reaches the threshold, and open the corporate account — directors must identify themselves as the bank requires.

    Employer and social security registration

    Once you have employees, register as an employer, enrol them in social security and remit contributions monthly.

  • ID card or passport copies for every shareholder and director
  • Three preferred company names in order
  • Registered address with a consent letter and the owner's documents
  • A map or photos of the premises, used when registering for VAT
  • A description of the business, to set the objectives and business code

Duties after registration

  • Keep monthly books and file returns on time, even in months with no revenue
  • Close the annual accounts, have them audited and submit them to the registrar
  • Hold the annual general meeting and keep the minutes
  • Report changes of directors, address or capital within the deadlines

How many shareholders are required?

Thai law sets a minimum number of shareholders for a limited company, and that threshold has been amended over time. We confirm the number applicable on your filing date before work starts.

Does registered capital have to be paid into the account?

Share payment must match what you declare, and in some cases — licence applications or foreign shareholders — evidence of payment is requested. We tell you in advance what your case needs.

Can we use your address as the registered address?

Yes. Both the Bangkok and Khon Kaen offices are real premises. We issue the consent letter and owner documents used for incorporation and VAT registration.
