Register a sole trader (commercial registration) in Thailand
Commercial registration is made in an individual's name; it does not create a separate juristic person, so business assets and debts stay tied to the owner.
Zura Labs & Business Hub Co., Ltd.
A good fit when
- A shop, online store or freelancer with modest revenue
- You need proof of registration for a platform or a small loan
- You are still testing the model before forming a company
Not the right form when
- Clients need tax invoices from a juristic person
- The work carries high risk or debt, because liability is unlimited
- There are partners whose rights must be clearly divided
How this registration actually runs
- 1
Choose the trade name and activity
Set the trading name and the activity to be declared; some activities carry extra conditions.
- 2
File at the district or municipal office
Submit the commercial registration form in the area where the business operates, with personal and address documents.
- 3
Receive and display the certificate
Once issued, the certificate must be displayed at the place of business as the law requires.
- 4
Set up bookkeeping and personal tax
Keep a separate bank account, retain income and expense records, and file personal income tax on schedule.
Documents to prepare
- Owner's ID card and house registration copies
- Trading name and details of goods or services
- Proof of the business location, with a consent letter if rented
- A map and photos of the shopfront
Duties after registration
- File personal income tax and keep supporting documents complete
- Register for VAT once turnover reaches the statutory threshold
- Report changes or cessation of the business when they happen
What is the key difference from forming a company?
Liability. Commercial registration does not separate the business from the owner, so personal assets are exposed to debts and claims; a limited company separates them.
If we form a company later, do we start over?
The company itself is a new registration, but the trade name, customer base and trading history carry over. We help move contracts and sales channels across.
