A limited partnership has two kinds of partner: limited partners, and a managing partner with unlimited liability. That is the single most important difference from a limited company.

How this registration actually runs

Agree partner roles and shares
Set out clearly who is the managing partner, who is limited, how much each contributes and how profit is shared. Put it in writing.

Reserve the partnership name
The name must be unique and carry the legally required indication of the entity type.

File the registration with the registrar
Submit the application with partner details, contributions, objectives and proof of the office address.

Tax ID, VAT and bank account
Obtain the tax ID in the partnership's name, register for VAT if required, and open the business account.

Duties after registration
- Keep books and file taxes on schedule like any juristic person
- Close annual financial statements and file them with the registrar

Is a limited partnership taxed differently from a company?
Both are juristic persons and file corporate income tax. The real difference lies in liability structure and annual paperwork, not in one being exempt.
Can we convert to a limited company later?
It is possible, but it involves a fresh registration and moving contracts, bank accounts and licences. We sequence the work so the business keeps running.
