Foreign business: BOI, foreign business licence and shareholding structure

Check which structure your business is actually allowed to use, then choose the filing route.

Zura Labs & Business Hub Co., Ltd.

Short answer

Any business with foreign shareholders starts with three questions: whether the activity sits on the list restricted to foreigners, whether the intended shareholding is genuinely possible, and which authorisation route fits — investment promotion, a foreign business licence, or treaty rights for US shareholders. We assess this first and tell you plainly which routes are open, along with what you actually need to prepare.

What you receive
  • A feasibility note separating viable routes from closed ones.
  • A proposed shareholding and signing-authority chart.
  • A document list for both local and overseas shareholders.
  • A complete application pack plus the queries reviewers commonly raise.

How we work

Step by step

  1. 01

    Assess activity and goals

Define the real activities, where revenue comes from and who the shareholders are.

  2. 02

    Choose the route

Compare requirements, documentation load and the visa/work-permit effect of each route.

  3. 03

    Prepare and file

Gather overseas documents, translate and certify as required, then file.

  4. 04

    Post-approval duties

Set up accounting, condition reporting and the team's visa and work permit work.

Questions we get

Can foreigners hold 100%?

In some activities and via some routes — for example promoted projects, or activities not on the restricted lists. Many service activities still require prior authorisation. We check your actual activity before answering rather than giving a one-size reply.

Do you arrange Thai nominee shareholders?

No. Using Thai shareholders who do not genuinely invest in order to bypass restrictions is unlawful and puts both the company and the shareholders at risk. We only build structures where every shareholder genuinely invests, with documentation to match.

How long does investment promotion take?

It depends on the project type, investment size and document completeness. We do not promise a number of days, but we report the remaining steps and outstanding documents as things progress.

What duties follow the approval?

Keep the books, file accounts and returns on schedule, report under the conditions granted, and keep visas and work permits consistent with the declared staffing and capital.
